& Campaign Annexure

UNSIGNED DRAFT · NO PARTNERSHIP ACTIVATION

This draft describes a proposed RoamWise × E-Cell NMIMS Mumbai campaign. It is not an executed agreement, proof of NMIMS endorsement, an offer to the general public, or an electronically signed document.

1. Parties and authorisation

This draft is between RoamWise (operating legal entity, registered address and authorised signatory to be verified and inserted) and E-Cell NMIMS Mumbai / the institution's authorised organising body (correct legal name, representative and authority to be verified and inserted), together called the parties. The campaign, venue, event and event date are to be written into the final signed copy. Neither a student club nor an individual is presumed authorised to bind the institution.

2. Scope and in-kind consideration

The parties propose one campus-focused AI travel collaboration connected solely to the agreed event. It is an in-kind barter: RoamWise provides up to 500 complimentary lifetime Founder Pro activations, and the E-Cell team provides the promotional deliverables in section 4. Neither party owes the other a cash sponsorship fee for this exchange. Any paid-referral commission is separate and is governed by section 7.

For discussion only, 500 × the ₹100 founder-era offer reference is ₹50,000; a hypothetical ₹300-per-account comparison is ₹1,50,000. These illustrations do not create a cash obligation or promise a resale value.

3. RoamWise commitments and entitlement allocation

  1. Reserve a proposed maximum of 50 passes for approved E-Cell organisers/core-team members and 450 passes for eligible NMIMS students and participating audience members. The final eligibility method and nominated coordinator must be recorded in writing.
  2. Issue each approved recipient a distinct, unpredictable, single-use pass code through RoamWise's authorised admin process. A public campaign QR/link may show instructions, but must not automatically create a pass or permit self-allocation.
  3. Bind each pass to the recipient's verified RoamWise account email. A code must be redeemed by its intended user within 30 days of individual issuance. After valid activation, the applicable lifetime Founder Pro entitlement remains subject to the disclosed plan terms and continues beyond the event.
  4. Provide agreed campaign copy, co-branded QR instructions, creative assets, a travel-personality quiz or mutually agreed equivalent, support for recipient issues, and a post-event aggregate results summary within 14 days after the event or another mutually agreed period.
  5. Keep essential travel-safety and survival functions available free to all users; the campaign pass is not a prerequisite to those tools.

4. E-Cell campaign commitments

  1. Arrange authorised approval of campaign branding and recognise RoamWise as the AI travel-planning partner for this specified campaign only, if the final authorised agreement provides for that designation.
  2. Publish or arrange 2 collaborative Reels, 4 Stories, 1 LinkedIn post and 2 campus/community pushes, with channels, dates, creative review, attribution and posting responsibility listed in the final campaign schedule.
  3. Provide one event-stage mention and one suitable on-site or digital logo/QR activation point, subject to the venue's rules and necessary permissions.
  4. Promote the approved travel quiz or student creative activity once; make reasonable aggregate reach/engagement results available for the joint post-event review.
  5. Nominate an authorised coordinator to verify the organiser list and approved student/audience eligibility without exposing a public roster.

5. Campaign timing and controlled activation

Campaign launch, partner publicity and pass issuance require authorised written approval of these terms, the event calendar, privacy wording and the operating process. Proposed issuance runs during the agreed campaign and for at most 30 days after the event; unissued seats may then be withdrawn. Each issued code separately expires 30 days after its issue date unless redeemed. Already activated lifetime entitlements will not be revoked solely because the promotional campaign ends.

Each party will notify the other promptly of a delivery or technical issue and seek a mutually agreed written make-good or schedule adjustment. No automatic cash fine is imposed by this draft.

6. Category scope, publicity and data

Any exclusivity is restricted to the specific agreed campaign materials and dates: no directly competing AI travel-planning service is promoted alongside RoamWise within those joint deliverables. It does not restrict NMIMS outside the agreed campaign, student choice, unrelated clubs, faculty or existing third-party relationships. The institution's name, trademarks, logos and partner title may be used only to the extent authorised in writing.

RoamWise processes recipient name, verified email and pass status as needed to issue and redeem the benefit, subject to its privacy policy and applicable requirements. RoamWise shares aggregated programme outcomes by default; personal recipient information is shared with E-Cell only for an identified lawful purpose and with any required notice and consent. Neither party receives user passwords, payment credentials or private trip content. Marketing opt-in must remain separate from receiving the free pass.

7. Optional qualifying paid referrals

Subject to a separate written attribution and settlement schedule, the proposed institutional code NMIMS2026 may earn a 30% commission on qualifying, genuinely paid RoamWise Pro purchases attributed to the campaign. Complimentary passes produce no commission; invalid purchases, duplicate attribution, refunds and chargebacks are excluded. The final document must specify the commission base, payee, taxes/invoicing, reconciliation window, payment method and settlement dates. No personal student incentive or institutional payout is assumed without approval. No public referral drive begins solely because this draft appears online.

8. Independent campus creator opportunities

The separate Campus Creator Circle is an optional invitation to pitch RoamWise directly. Applying does not allocate one of the 500 institutional passes, entitle an applicant to payment or require NMIMS to endorse an individual. Each commissioned collaboration requires its own written agreement on scope, fees, travel expenses, usage rights and consent.

9. Term, changes and outstanding details

The final agreement's term should begin only on its actual date of authorised signature and continue through the agreed event, reporting and pass-issuance period. Written amendments are required for changes to the allocation, deliverables, branding, commission or dates. The parties must agree any early-termination notice and consequences in the signed copy; already-validly-activated lifetime passes remain honoured under their plan terms.

Details required before execution: exact legal entity names and addresses; authorised signatories; fest/event name and date; final approval of 50/450 eligibility; creative schedule and partner designation; privacy notice and consent flow; commission recipient/base/settlement; and final legal/commercial review.

10. Signatures — deliberately blank

This is a negotiation draft. No signature, date or electronic consent is asserted. Each party should sign only after all open terms are agreed and its representative is authorised.
